Acceptance of Terms
-By engaging PulseDezign ("the Company") for website development services, you ("the Client") agree to be bound by these Terms and Conditions. Any variations or modifications must be agreed upon in writing by both parties.
Scope of Services
-The Company agrees to provide website development services as outlined in the agreed-upon proposal or quotation. Any additional services requested by the Client that fall outside the agreed scope may incur additional charges.
Client Responsibilities
-The Client agrees to provide all necessary materials, content, and information required for the project in a timely manner. Delays in providing required materials may result in project delays. The Client is responsible for domain fees after the first year of service. Domain names cannot be guaranteed, and available options will be communicated to the Client for approval.
Payment Terms
-No deposit is required to commence work.
-Full payment is due upon receipt of the final website design being handed over to the Client.
-Late payments will incur interest charges of 10% per month.
Intellectual Property and Domain Transfer
-Upon full payment, the Client will own the final website design and content developed by the Company, excluding any third-party components (e.g., stock images, plugins, or frameworks).
-The domain name will be transferred to the Client once full payment has been received.
-The Company retains the right to display the completed work in its portfolio and marketing materials unless otherwise agreed in writing.
Revisions and Amendments
-The Company allows 2 rounds of revisions as part of the agreed scope. Additional revisions or significant changes may incur additional fees.
Project Timeline
-The Company will make every effort to meet agreed deadlines. However, timelines may be affected by factors beyond the Company's control, such as delays in receiving required materials from the Client or technical issues.
Domain and Hosting
-The Client is responsible for domain registration fees after the first year of service.
-The Company will assist in recommending available domain names, but availability cannot be guaranteed.
-Web hosting fees are the responsibility of the Client and must be arranged separately unless otherwise agreed in writing.
Cancellation and Termination
-Once the layout has been agreed upon and the required information has been submitted by the Client, the work may not be cancelled, and the Client remains liable for full payment.
-In the event of cancellation prior to this stage, the Client is liable for all work completed up to the cancellation date.
Limitation of Liability
-The Company shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the website. The Client agrees to indemnify the Company against any claims or losses resulting from the website's content or functionality.
Confidentiality
-Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project.
Governing Law
-These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be resolved through negotiation, mediation, or arbitration as per South African legal practices.
Force Majeure
-The Company shall not be held liable for delays or failure to perform due to circumstances beyond its control, including but not limited to acts of God, natural disasters, or government restrictions.
Amendments
-The Company reserves the right to amend these Terms and Conditions at any time. It is the Client’s responsibility to review the Terms and Conditions before making any work requests to ensure awareness of any changes.
Entire Agreement
-These Terms and Conditions constitute the entire agreement between the Client and the Company and supersede any prior agreements or understandings.
